METAWATER Co., Ltd. (President: Kenji Yamaguchi; Headquarters: Chiyoda-ku, Tokyo; hereinafter, "METAWATER") hereby announces that it has entered into a definitive agreement to acquire all shares of Schwing Bioset, Inc. (hereinafter, "SBI"), as previously announced on March 10, 2025*, through METAWATER USA, INC.

SBI specializes in providing engineering and services for sludge treatment across North and South America. Its flagship product, the piston pump, is highly regarded and used not only for sewage sludge but also in mining operations.

The acquisition of SBI will strengthen the collaboration with our existing North American group companies, Aqua-Aerobic Systems, Inc. and Wigen Companies, Inc. maximizing synergy and driving the provision of innovative solutions in the sewage and sludge treatment sectors of the North American market. This will accelerate the growth of our international business and contribute to the realization of sustainable water and environmental infrastructure.
